Terms of Service

These Terms of Service (“Terms”) form a binding contract between you and Kirk Group Services Ltd (Company No. 17172191, registered in England and Wales at [REVIEW: registered office address for Kirk Group Services Ltd]) — trading as KSite (“we”, “us”, “our”) — governing your use of the KSite mobile and web applications and any associated services (the “Service”).

By creating an account, subscribing, or otherwise using the Service, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy.

1. Definitions

  • User — an individual who uses the Service under an active account.
  • Tenant — the business (sole trader or firm) whose subscription you use the Service under.
  • Subscriber Admin — the User who signed the Tenant up and manages billing.
  • Content — the data you input into the Service (customer records, jobs, photos, notes, signatures, etc.).
  • Subscription — an ongoing paid plan (Free, Pro, Team or Enterprise) that unlocks Service capabilities.

2. Eligibility and account registration

You may use the Service only if:

  • You are aged 18 or over.
  • You have legal capacity to enter into contracts under UK law.
  • You’re registering on behalf of a business you own or are authorised to represent.

You’re responsible for keeping your login credentials secure. You must not share your account with anyone outside your Tenant. We reserve the right to suspend accounts we reasonably believe are being shared across multiple people in breach of these Terms.

3. Subscriptions, billing and cancellation

Pricing

Current pricing is published on our website. All prices are in GBP and shown inclusive of UK VAT where applicable. We may change prices with at least 30 days’ written notice by email. Continued use of the Service after a price change takes effect constitutes acceptance of the new price.

Trials

New Subscribers may be offered a 14-day free trial of the Pro tier. Trials automatically convert to a paid subscription at the end of the trial period unless cancelled beforehand. You’ll receive a reminder email at least 72 hours before the trial ends. [REVIEW: 72-hour EU pre-billing mandate]

Billing cycle

Paid subscriptions are billed monthly or annually in advance via Stripe. Payments failing to complete after Stripe’s default retry schedule may result in the Subscription being downgraded to the Free tier.

Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period — you retain paid-tier access until then, then automatically move to the Free tier.

Refunds and cooling-off

Under the UK Consumer Rights Act 2015, you have a 14-day statutory cooling-off period after a new subscription starts. If you exercise this right within 14 days of first subscribing, we’ll refund that period’s fee in full — unless you have already used the Service substantively during that period (e.g. generated Pro-tier reports, used photo annotation), in which case a pro-rata deduction may apply. Beyond the cooling-off period, subscription fees are non-refundable except at our discretion.

4. Acceptable use

You must not use the Service to:

  • Break any law or infringe anyone’s rights.
  • Upload content that is unlawful, defamatory, obscene, harassing, or otherwise inappropriate.
  • Attempt to reverse-engineer, decompile, or extract the source code of the Service.
  • Scrape, probe, penetration-test or otherwise attempt to circumvent security controls without written permission.
  • Use the Service to send unsolicited communications to your own customers in breach of PECR / GDPR / equivalent laws.
  • Resell, sub-license or make the Service available to third parties outside your Tenant.

We may enforce reasonable rate limits and other technical controls to protect the Service. We may suspend or terminate accounts that materially breach this section, with notice where practical.

5. Your Content

You own your Content. You grant us a limited, non-exclusive, worldwide, royalty-free licence to store, process, transmit and display your Content solely to the extent needed to provide the Service to you (and, where you use the customer-portal-sharing feature, to the customer with whom you share a report).

You represent and warrant that you have the necessary rights and consents to upload any personal data or copyrighted material contained in your Content, and that its inclusion in the Service does not breach any third-party right or applicable law.

We access your Content only where necessary to operate the Service (e.g. automated back-ups, technical support you’ve requested, or where legally compelled).

6. Intellectual property

The KSite name, brand, logo, code, user interface and documentation are owned by Kirk Group Services Ltd and protected by intellectual property laws. Nothing in these Terms transfers ownership of any of the foregoing to you.

You retain all rights in your Content — the licence granted in clause 5 above is a licence, not an assignment.

7. Termination

You may terminate your account at any time from account settings. We may terminate or suspend your account:

  • For material breach of these Terms (with notice where practical).
  • If your payments have not been made and standard retry processes have failed.
  • If we discontinue the Service (with at least 90 days’ notice).

On termination, you may export your Content for up to 30 days following notice. After that, we’ll delete your data subject to the retention obligations set out in our Privacy Policy.

8. Warranties and disclaimers

We provide the Service with reasonable skill and care. Beyond that, and to the fullest extent permitted by law:

  • The Service is provided “as is” without further warranty of any kind.
  • We do not warrant that the Service will be uninterrupted, error-free, or fit for any particular purpose beyond its documented capabilities.
  • We’re not responsible for the accuracy of Content you create or share via the Service.
  • Third-party services integrated with the Service (Stripe, Apple, Google, AWS) are governed by their own terms — we’re not liable for their acts or omissions.

Nothing in these Terms limits statutory rights that cannot lawfully be excluded — including under the Consumer Rights Act 2015 and UK-GDPR.

9. Limitation of liability

To the fullest extent permitted by law:

  • Our total aggregate liability to you for any claim arising out of or related to these Terms or the Service is capped at the fees you have paid us in the 12 months immediately preceding the event giving rise to the claim (or £100, whichever is greater).
  • We are not liable for indirect, incidental, consequential, or punitive damages, or for loss of profit, revenue, goodwill or data.
  • Nothing in this clause excludes liability for death or personal injury caused by our negligence, for fraud, or for any other liability that cannot be excluded under English law.

10. Indemnity

You agree to indemnify and hold us harmless against any third-party claim arising from (a) your breach of these Terms, (b) your Content, or (c) your use of the Service in violation of law. This does not limit any consumer rights you have that cannot be waived.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified to you by email at least 30 days before they take effect. Continued use of the Service after that date constitutes acceptance of the new Terms.

12. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with them, except where UK consumer protection law requires proceedings in your local courts.
